Terms of Service

1. The Service

Terrier is a SaaS platform that provides automated SaaS spend analysis by connecting to your corporate cards (via Plaid) and Google Workspace directory to identify unused licenses, ghost seats, redundant subscriptions, and wasted spend.

Key Understanding: You, not Terrier, retain final decision authority over all software changes. Terrier provides analysis and recommendations only.

What Terrier Is NOT: Terrier is not a financial advisor, employment law advisor, compliance consultant, or software procurement platform.

2. Eligibility & Account Responsibility

You represent that you are at least 18 years old and have legal capacity to enter binding agreements. If using Terrier on behalf of an organization, you warrant you are an authorized representative.

Account Credentials: You are responsible for maintaining confidentiality of your login credentials. All activity under your account is your responsibility. Terrier is NOT liable for unauthorized access resulting from your failure to protect credentials.

You agree NOT to: use the Service illegally; attempt unauthorized access; process data without authority; violate third-party terms; send threatening messages; upload malware; or spam the Service.

Violation Consequences: We may suspend your account, delete your data, and pursue legal remedies. No refunds for accounts terminated for policy violations.

5. Savings Estimates & Disclaimers

CRITICAL: Estimates Are NOT Guaranteed. Savings are projections based on historical spend. Actual savings depend on your decisions, vendor response, and market conditions.

Validation Responsibility: YOU are responsible for validating all recommendations, confirming vendor pricing, and assessing business impact.

Not Financial Advice: Terrier does not provide financial advice. Consult your CFO for significant decisions.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES. Terrier does NOT warrant the Service will be error-free, estimates will be accurate, or recommendations will result in savings.

We disclaim all implied warranties. This disclaimer applies to the full extent permitted by law.

7. Limitation of Liability

CAP ON DAMAGES: Liability is capped at fees you paid in 12 months preceding the claim. For free trial users: $100.

EXCLUDED DAMAGES: NOT LIABLE for lost profits, revenue, data, contracts, or punitive damages.

This limitation applies to all claims and survives termination.

8. Indemnification

You indemnify Terrier from claims and expenses arising from: your use of the Service; your violation of these Terms; or actions you take based on Terrier recommendations.

9. Billing & Refunds

Free Trial: 14 days free. Paid: Monthly auto-renewal. No refunds for partial months. Price changes: 30 days notice; cancel before effective date if you disagree.

10. Termination

You can terminate: Anytime. We can terminate: If you breach Terms, fail to pay 15+ days after notice, or pose security risk (10 days notice unless emergency).

Upon termination: 30 days to export data; after that, deleted within 7-90 days.

11. Data Ownership

All data you input remains your property. Export anytime at no cost. After account termination, you have 30 days to export.

12. Governing Law & Disputes

Law: Delaware law. Arbitration: Disputes resolved in Wilmington, Delaware (except IP/confidentiality/enforcement disputes). No class actions.

13. Changes to Terms

We may modify Terms anytime. Material changes take effect 30 days after posting. Cancel before effective date if you disagree.
